Terms of Service

1. Agreement to Terms

By accessing or using the services provided by Aurelius Systems ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services. These Terms apply to all visitors, users, and clients who access or use our services.

2. Description of Services

Aurelius Systems provides custom business system development, data management, system integration, and ongoing maintenance services for small and medium-sized businesses. Our services include but are not limited to: custom software development, system setup and configuration, data migration, hosting, monitoring, security updates, and technical support.

3. Pricing and Payment

Our pricing structure consists of:

  • Setup Fee: A one-time fee of NT$32,000 (≈ US$1,000) per system for initial development, configuration, and deployment.
  • Monthly Subscription: NT$4,000 (≈ US$125) per month for ongoing maintenance, hosting, support, and updates.
  • Enterprise Packages: Custom pricing available for businesses requiring multiple systems or advanced features.

All payments are processed through our authorized payment processor, Paddle. By making a payment, you also agree to Paddle's terms of service. Prices are listed in TWD and may be subject to applicable taxes based on your jurisdiction.

4. Subscription Terms

Monthly subscriptions are billed on a recurring basis. You may cancel your subscription at any time with 30 days written notice. Upon cancellation, your access to hosted systems and support will continue until the end of the current billing period. We reserve the right to modify subscription pricing with 60 days advance notice.

5. Intellectual Property

Upon full payment of the setup fee, the client retains ownership of the custom business logic and data within their developed system. Aurelius Systems retains ownership of proprietary frameworks, libraries, tools, and underlying platform technology used to build and host client systems. Both parties agree not to disclose confidential information shared during the course of the engagement.

6. Data Protection

We take data protection seriously. All client data is encrypted in transit and at rest. We perform regular backups and maintain strict access controls. For detailed information about how we handle your data, please refer to our Privacy Policy.

7. Service Availability

We strive to maintain 99.9% uptime for all hosted systems. Scheduled maintenance windows will be communicated at least 48 hours in advance. We are not liable for downtime caused by force majeure events, third-party service failures, or client-initiated changes.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Aurelius Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with our services. Our total liability shall not exceed the total amount paid by you to us in the twelve (12) months preceding the event giving rise to the claim.

9. Termination

Either party may terminate the service agreement with 30 days written notice. We reserve the right to suspend or terminate services immediately if: (a) payment is overdue by more than 30 days, (b) you breach these Terms, or (c) your use of our services poses a security risk. Upon termination, we will provide a reasonable period for data export.

10. Governing Law

These Terms shall be governed by and construed in accordance with applicable international commercial laws. Any disputes arising from these Terms or the services provided shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify existing clients of any material changes at least 30 days before they take effect. Your continued use of our services after changes become effective constitutes your acceptance of the revised Terms.
